1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by 1StTech OÜ (Registration Number: 11760748) ("Company", "we", "our", or "us"), an Estonian company engaged in the wholesale of electrical materials and components.

2. Acceptance of Terms

By accessing our website, requesting quotes, or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

3. Services

3.1 Service Description

We provide wholesale electrical materials and components including:

• Electrical cables and wiring systems
• Control panels and switchgear
• Industrial electrical equipment
• Tools and electrical accessories
• Technical consultation and support
• Logistics and distribution services

3.2 Service Availability

Our services are primarily available in Azerbaijan. We reserve the right to modify, suspend, or discontinue services at any time without prior notice.

4. Orders and Quotations

4.1 Quotation Process

All quotations are provided free of charge and are valid for 30 days unless otherwise specified. Quotations are not binding offers and are subject to product availability and price changes.

4.2 Order Acceptance

Orders are subject to our written acceptance. We reserve the right to reject any order for any reason, including but not limited to credit concerns, product availability, or technical feasibility.

4.3 Order Modifications

Order modifications must be requested in writing and are subject to acceptance. Additional charges may apply for modifications after order confirmation.

5. Pricing and Payment

5.1 Pricing

All prices are quoted in EUR or USD and exclude VAT unless otherwise specified. Prices are subject to change without notice based on market conditions and supplier pricing.

5.2 Payment Terms

Payment terms are specified in each quotation or order confirmation. Standard payment terms are:

• New customers: 100% advance payment
• Established customers: Net 30 days from invoice date
• Large orders: May require partial advance payment

5.3 Late Payment

Late payment charges of 1.5% per month may be applied to overdue accounts. We reserve the right to suspend services for accounts in arrears.

6. Delivery and Risk Transfer

6.1 Delivery Terms

Delivery terms are specified in each order confirmation. Unless otherwise agreed, delivery is EXW (Ex Works) our facility in Estonia.

6.2 Delivery Timeframes

Delivery timeframes are estimates and not guaranteed. We are not liable for delays caused by circumstances beyond our reasonable control.

6.3 Risk Transfer

Risk of loss or damage passes to the customer upon delivery according to the agreed Incoterms.

7. Product Quality and Warranties

7.1 Product Standards

All products meet applicable international standards and manufacturer specifications. We provide certificates of conformity where required.

7.2 Manufacturer Warranties

Products are covered by manufacturer warranties. We assist with warranty claims but are not responsible for manufacturer warranty performance.

7.3 Inspection

Customers must inspect products upon delivery and report any defects within 7 days. Failure to report defects within this period constitutes acceptance.

8. Returns and Exchanges

8.1 Return Policy

Returns are accepted only with prior written authorization and are subject to a restocking fee. Products must be in original condition and packaging.

8.2 Custom Products

Custom-manufactured or special-order products cannot be returned unless defective.

9. Intellectual Property

All intellectual property rights in our website, documentation, and proprietary information remain our property. Customers may not reproduce, distribute, or use our intellectual property without written permission.

10. Confidentiality

We maintain confidentiality of customer information and project details. Customers agree to maintain confidentiality of our pricing, technical information, and business practices.

11. Limitation of Liability

11.1 Liability Limits

Our liability is limited to the purchase price of the products involved. We are not liable for:

• Consequential or indirect damages
• Loss of profits or business opportunities
• Damages exceeding the order value
• Delays in delivery or performance

11.2 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, government actions, or supplier failures.

12. Indemnification

Customers agree to indemnify us against claims arising from their use of our products, except for claims directly caused by our negligence or breach of contract.

13. Technical Support

We provide technical support for product selection and specification. However, final design and installation decisions remain the customer's responsibility.

14. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. Customer data is used only for business purposes.

15. Compliance

Customers are responsible for ensuring products meet their local regulations and standards. We provide technical documentation to assist with compliance verification.

16. Termination

Either party may terminate the business relationship with 30 days written notice. Outstanding orders and payments remain binding after termination.

17. Governing Law and Jurisdiction

These Terms are governed by Estonian law. Any disputes shall be resolved in the courts of Estonia. For international customers, disputes may be resolved through arbitration.

18. Amendments

We may modify these Terms at any time. Modified terms apply to new orders placed after the modification date. Customers will be notified of material changes.

19. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
